William R. Cawley, a commercial real
estate professional with more than
30 years of experience, serves as
Chairman and Chief Executive
Officer of the Cawley Wilcox
Companies. Founded in 1986,
Cawley Wilcox Companies is a family of real estate
companies that acquire, develop and provide tenant
representation, corporate services, property leasing
and management, project management and
development services to its clients. The Cawley Wilcox
Companies are comprised of Cawley Partners, Crestmarc,
Wilcox Development Services and GVA Cawley.
The Cawley Wilcox Companies have developed more
than five million square feet of Class “A” office and
industrial properties throughout the United States.
Mr. Cawley oversees more than $720 million in
completed capitalized projects for Cawley Partners,
whose primary focus is the acquisition and
repositioning of office buildings throughout the United
States. As the leader of Crestmarc, Cawley’s multifamily
group, Mr. Cawley directs holdings of $190 million in
capitalization (as of 2007).
First Lien Lender: First lien financing will be provided by
a myriad of institutional lenders, including insurance
companies and/or banks. Cawley Partners anticipates
debt financing at 65-75% loan to cost.
Institutional Capital Partners: In addition to the First
Lien mortgage, Cawley Partners has procured a
number of institutional capital partners, which will
provide 80-85% of the required remaining equity.
Cawley Income Fund II: There will be two internal
sources of equity, Cawley Partners and Cawley Income
Fund II, which will provide the remaining 15-20%.
The net proceeds of the Cawley Income Fund II
Secured Note offering will supplement the equity
required to pursue real estate development and
acquisition activities in conjunction with debt and other
equity financing The investment activities will primarily
involve office, industrial, and retail properties, including
to-be-developed and value-add properties, and may
also include multi-family properties.
Guarantor. Cawley Assurance, Ltd. (the "Guarantor"),
an affiliate of the Company, will partially guarantee the
Notes in the aggregate amount equal to 25% of the
aggregate principal balance of all the Notes (to be
applied pro rata among all the Notes in accordance
with their then outstanding balances). The form of
such guaranty, which is an unconditional guaranty, is
set forth in the Indenture. The guaranty will not apply
to the Sponsor Loan. Unaudited financial information

Cawley Partners creates and manages strategic real
estate fund opportunities for accredited investors,
including secured notes, partnerships, and joint
ventures. The company’s goal is to acquire value-add
properties in near-term submarkets, increase
occupancy levels to 70-90% through vigorous leasing
activity, and then place the properties back on the
market and sell the asset or assets. This opportunistic
strategy allows the company to take advantage of
market conditions, producing optimal investment
outcomes for our investment partners.
